Terms of Sale and Use

These terms are a contract between you and Maria Eduarda Ribeiro, a sole trader resident in Portugal, tax number (NIF) 298860678, of R. Serpa Pinto 27, 7520-241 Sines, Portugal, trading as Varello Ideas ("we", "us"). They apply whenever you use this website or buy a course or a plan from it. Please read them before you pay. If you do not accept them, do not buy.

These terms take effect on 17 October 2026 and replace any earlier version.

1. What you are buying

Courses. Each course is digital content: 8 written lessons with worked examples, tasks and templates, read in a personal online library where each lesson can also be printed or saved as PDF. The courses are in English. Nothing is shipped to you, and a course on its own includes no video, no app, no calls and no individual feedback.

Plans. Every plan includes all 6 courses. The Guided and Partner plans also include a written advisory service by email for a fixed number of weeks, described in section 7 and on the advisory page.

The contents of each course and plan are described on this website, including the title of every lesson, and summarised again before you pay. That description, as published on the day you buy, forms part of this contract.

2. Who may buy

You must be at least 18 years old and able to enter into a contract. If you buy for a business, you confirm that you are authorised to bind it. You must use an email address you control, because that is where your access is delivered and, on advisory plans, where the advisory takes place.

3. Consumers and business customers

If you buy as a consumer, meaning for purposes outside your trade, business or profession, you have all the rights the law gives consumers, and nothing in these terms reduces them. If you buy for your business, the statutory consumer rights do not apply to you, but our 14-day money-back guarantee does, and section 12 applies to your purchase as a business customer.

4. Price, taxes and payment

All prices are shown in euros (EUR) and are single, one-time payments. There is no subscription, no automatic renewal, and we do not store your card.

Payment is processed by Stripe and appears on your statement as VARELLOIDEAS. The price shown at checkout is the total we charge and includes any value added tax we are required to collect. If you pay from a card in another currency, your bank may add a conversion fee; that fee is charged by your bank, not by us. An invoice is issued under Portuguese tax law. If you need your company name or VAT number on it, add them at checkout or write to us within 30 days of the purchase.

Before you pay, you see the course or plan, its price and its main contents, and you can go back and change your choice. Confirming the payment is your acceptance of our offer. We confirm the contract by email.

5. Delivery

Access to the lessons is given immediately after a successful payment, on the confirmation page and by email, normally within a few minutes. The full process, and what to do if something goes wrong, is described in delivery and access, which forms part of these terms.

6. Your right of withdrawal and our guarantee

You can ask for a full refund within 14 days of your purchase, for any reason, whether you bought a course or a plan with advisory. How this relates to the statutory 14-day right of withdrawal for online purchases is explained in the refund and cancellation policy, which forms part of these terms. A model withdrawal form is available.

7. The email advisory

The Guided plan includes 6 weeks and the Partner plan 12 weeks of written advisory by email. During those weeks:

• you may send questions about your business and about the methods taught in the courses, which are answered in writing within 2 working days on the Guided plan and within 1 working day on the Partner plan, Monday to Friday, 9:00 to 18:00 Lisbon time. Emails sent at weekends or on Portuguese public holidays are answered on the next working day;
• you may send documents for a written review (2 on the Guided plan and 6 on the Partner plan). A review covers one document of up to 15 pages or one spreadsheet, and is returned within 3 working days;
• on the Partner plan, you receive a written 90-day plan for your business within 10 working days of sending the completed intake questionnaire.

Start and duration. The advisory starts on the day you send your first email to advisory@varelloideas.com from the address you bought with, and must be started within 90 days of the purchase. The weeks run consecutively. You may ask once for a pause of up to 14 days. If you do not start within 90 days, we will remind you by email before the advisory lapses, and we will find a solution with you.

Fair use. The advisory is for the business of the person who bought it. Please keep each email to one topic. Reviews and questions not used during your weeks do not carry over.

Limits. The advisory is remote and in writing only. It does not include calls, meetings, visits, doing the work for you (such as writing your business plan, building your app or running your campaigns), or any legal, tax, accounting, auditing, financial, investment or insurance advice. It is your decision whether and how to act on our feedback.

Respect. We may end the advisory early if you send abusive or threatening messages, or ask us to help with anything unlawful. In that case we refund the weeks not yet used, in proportion to the advisory part of the plan.

If we cannot provide it. If we are unable to provide the advisory you paid for, we refund the weeks and reviews you could not use, in proportion to their share of the price, and you keep your courses.

8. Your licence to use the courses

When you buy, you receive a personal, non-exclusive, non-transferable licence to read, print and save the lessons and to use the templates in your own business or job. You do not become the owner of the material. You may not share your access link, resell, publish or upload the material, teach it to paying clients as your own programme, or use it to train an artificial intelligence system. Details are in the copyright and licence notice.

9. Education, not professional advice

The courses are business education and the advisory is written feedback on your own work. Neither is legal, tax, accounting, auditing, financial, investment or insurance advice, and neither replaces a lawyer, a certified accountant or another qualified professional. Examples in the lessons use fictional businesses and illustrative numbers. We do not promise any particular result, such as revenue, profit, growth, funding or savings, because results depend on many factors outside our control. You agree to read the professional disclaimer, which forms part of these terms.

10. Updates and availability

We may improve, correct or expand a course. Updates to what you bought are included at no extra cost. We will not remove a substantial part of what you paid for. We aim to keep the library available at all times but cannot guarantee uninterrupted access, because hosting and email are provided by third parties. If we ever decide to close Varello Ideas, we will email every buyer at least 90 days in advance so you can print or save all your lessons, and we will refund any advisory weeks not yet provided.

11. Conformity

The courses and the advisory must match their description, be complete and be provided as described. If they do not, consumers have the rights given by Portuguese Decree-Law 84/2021 on digital content and digital services: we will bring them into conformity, and if we cannot do so within a reasonable time, you are entitled to a price reduction or a full refund.

12. Our liability

We prepare the courses and provide the advisory with reasonable care and skill. Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, wilful misconduct or gross negligence, for death or personal injury caused by our negligence, or the mandatory rights of consumers under Portuguese Law 24/96 and the law of the country where you live.

Subject to that, we are not liable for indirect or consequential losses, such as loss of profit, revenue, business, contracts or data, and our total liability for a purchase is limited to the amount you paid for it. You remain responsible for your business decisions, for checking that a method or template suits your situation, and for seeking professional advice where the professional disclaimer tells you to.

13. Suspension of access

We may suspend or end your access, without a refund, if you publish or share your access link, redistribute the material, or use it in breach of the licence. Where the problem is minor and can be fixed, we will ask you to fix it first.

14. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control, such as the failure of a hosting, payment or email provider. If such an event prevents delivery for more than 30 days, you may cancel and receive a full refund of the part not delivered.

15. Confidentiality and personal data

We treat the documents and information you send during the advisory as confidential and use them only to provide your advisory. We handle personal data as described in the privacy policy.

16. Contact, complaints and disputes

We contact you at the email address you gave at checkout. You can reach us at support@varelloideas.com or on +351 926 865 115. We reply within one working day.

Electronic complaints book. Under Portuguese law you can file a complaint in the official electronic complaints book (Livro de Reclamações Eletrónico) at livroreclamacoes.pt. The complaint is sent to us and to the competent authority.

Alternative dispute resolution. If a consumer dispute cannot be solved with us directly, you may take it to a consumer arbitration centre. The CNIACC, the National Centre for Consumer Information and Arbitration (cniacc.pt), handles disputes anywhere in Portugal where no regional centre is competent, and the full list of approved centres is published on the Portuguese Consumer Portal (consumidor.gov.pt). Consumers in other EU countries may also contact the European Consumer Centre of their country.

17. Changes to these terms

We may change these terms for future purchases. The version that applies to your purchase is the one published on the day you paid.

18. Transfer

You may not transfer this contract to anyone else. We may transfer it to a business that takes over Varello Ideas, provided your rights are not reduced, and we will tell you if that happens.

19. Governing law and courts

These terms are governed by Portuguese law. If you are a consumer, this does not take away the protection of the mandatory consumer laws of the country where you live, and you may bring proceedings in the courts of your country of residence where the law allows it. Otherwise, the courts of the judicial district (comarca) of Setúbal, Portugal, have jurisdiction.

20. Entire agreement

These terms, together with the refund policy, the delivery policy, the advisory page, the privacy policy, the cookie policy, the copyright and licence notice and the professional disclaimer, are the whole agreement between you and us about your purchase. If any part is found invalid, the rest remains in force.
